Springer Nature holds AGM after strong 2025 performance
AGM approves proposed dividend of €0.83, new Management Board remuneration system and share buyback authorisation

Springer Nature, a leading global publisher of research, today held its Annual General Meeting (“AGM”). A total of 96.05% of the company’s registered share capital participated in the AGM.
Shareholders approved all agenda items, including the proposed dividend of €0.83 per dividend-bearing share. The dividend is scheduled to be paid to eligible shareholders on 2 June 2026.
The AGM also approved a new remuneration system for the Management Board, which further strengthens alignment with long-term value creation and company performance.
Shareholders additionally authorised the company to acquire its own shares of up to 10% of the share capital for a period of five years, enabling the company to acquire shares if it sees fit.
The AGM also confirmed a change to the Supervisory Board of Springer Nature AG & Co. KGaA.
Philipp Schwalber was newly appointed to the Supervisory Board. He is a Partner, Private Equity, and Co-Head of Technology at BC Partners LLP.
