Springer Nature holds first Annual General Meeting since its IPO
- All agenda items approved
- Shareholders confirmed the proposed dividend of €0.13 per share
- Bernd Hirsch and Thomas del Marmol appointed as new members of the Supervisory Board

Springer Nature, a leading global publisher of research, today held its first Annual General Meeting (“AGM”) since its successful initial public offering in October. The AGM was attended by shareholders representing a total of 96.88% % of the company’s registered share capital.
Shareholders approved all agenda items including the proposed dividend of €0.13 per dividend-bearing share. The dividend is scheduled to be paid to eligible shareholders on 11 June 2025.
The AGM also confirmed changes to the Supervisory Boards of both Springer Nature Management Aktiengesellschaft and Springer Nature AG & Co. KGaA. These by-elections to the Supervisory Board followed the resignations of Sabine Knauer and Ewald Walgenbach as members of the Supervisory Board with effect from the end of the Annual General Meeting.
Bernd Hirsch and Thomas del Marmol were newly appointed to the Supervisory Board. Bernd Hirsch is a self-employed advisor and former CFO of several international companies. His previous positions include CFO roles at COFRA Holding AG, Bertelsmann, Symrise AG and Carl Zeiss Meditec AG. He currently serves on the Supervisory Board of Symrise AG and as Chair of the Supervisory Board of Verlagsgruppe Georg von Holtzbrinck.
Thomas del Marmol is a Managing Director at BC Partners LLP and also serves on the boards of Aliaxis S.A. and Cypher Topco B.V. Thomas del Mamor succeeds Ewald Walgenbach and has taken over his role in the Audit Committee.
